Terms of engagement

PrimeCommerce LLC provides independent commerce architecture services. This website describes our services; it does not create an engagement or authorize a payment.

Written agreement

Work begins only after both parties sign a written scope. It must identify the deliverables, exclusions, fee, dates, access arrangements and any client-data handling requirements. These terms must be incorporated into that agreement. If the signed scope conflicts with these terms, the signed scope controls.

Agentic readiness review

Fees, scope and payment terms are stated in the written proposal or statement of work signed by both parties. The review covers one store's catalog, product feeds, policy pages and agreed checkout scenarios, using read-only access, exports and public pages. Deliverables are ranked, evidence-backed findings, a fix list and a review call.

The review is read-only. It does not include implementation, applying for or enrolling in any AI shopping or checkout program, or any guarantee of placement, ranking, revenue, PCI certification or legal advice. Checkout scenarios run only in a test mode or with separate written authorization.

The delivery date is set in the signed proposal and assumes the agreed read-only access and information are ready. Client delays move the delivery date; we will confirm the revised date in writing.

Checkout & Payments Teardown

Fees, scope and payment terms are stated in the written proposal or statement of work signed by both parties. The teardown covers one storefront, one payment provider and agreed purchase scenarios. Deliverables are evidence-backed findings, a ranked fix list and a 45-minute review.

The teardown is read-only. It does not include implementation, incident response, PCI certification, legal advice or a revenue guarantee. We do not change production systems or initiate live transactions without separate written authorization.

Findings and the fix list are delivered within five business days of the agreed start date, provided the deposit has cleared and the agreed read-only access and information are ready. Business days are Monday through Friday, excluding US federal holidays. Client delays move the delivery date; we will confirm the revised date in writing. The review is scheduled at a mutually agreed time.

Store operations

Fees, scope and payment terms are stated in the written proposal or statement of work signed by both parties. Store operations are an hour-capped monthly scope. We apply only changes you approve in writing, matched to the exact change you approved, and confirm each one afterwards by re-reading the store. Availability is agreed during scoping. There is no incident-response or response-time commitment unless expressly agreed.

Payment and changes

Unless the signed proposal states otherwise, half of the review or teardown fee is due at signing and must clear before the start date is reserved. The remaining half is invoiced when the final findings and fix list are delivered and is due within seven calendar days.

Store operations are invoiced as the signed scope states, with payment due within seven calendar days unless the signed scope states otherwise. Applicable tax is identified in the agreement or invoice. Additional work and expenses require written approval before they are incurred.

If either party cancels, the client pays for work completed under the agreed scope. Any unused advance payment is refunded; any remaining amount due is invoiced. The signed scope sets how completed work is valued.

Confidentiality

Each party will protect the other's nonpublic information and use it only for the engagement. Disclosure is limited to authorized people and service providers subject to confidentiality obligations, or where required by law. Neither party may supply information it lacks authority to share. We will not publish your name, confidential information or case study without your written permission.

Recommendations and liability

We will perform the agreed work with reasonable care. Findings reflect the evidence available during the review and cannot identify every possible issue. We do not warrant any increase in revenue, conversion, availability or other business outcome. Implementation decisions remain yours.

To the extent permitted by law, PrimeCommerce LLC's total liability arising from an engagement is limited to the fees you paid for that engagement. We are not liable for indirect or consequential losses, including lost profits or revenue. These limits do not exclude liability that applicable law prohibits us from limiting.

Governing law and contact

Ohio law governs the engagement, without regard to conflict-of-law rules, subject to any mandatory law that applies. Questions or concerns should be sent to kevin.hobbs@primecommerce.com.
